ividuals,andanylegislationorregulationsadoptedtoimplement,amend,orreplacesuchLaws,includingtheEuropeanUnionGeneralDataProtectionRegulation("GDPR"),theEuropeanUnionDirectiveonPrivacyandElectronicCommunications(theePrivacydirective)andanylocalimplementinglaws;Canada’sPersonalInformationProtectionandelectronicDocumentsAct(“PIPEDA”)andanyprovinciallegislationforwhichanexemptingorderhasbeengranted;andSection5oftheFederalTradeCommissionActandstatelawsprohibitingunfairordeceptiveactsorpractices,theChildren’sOnlinePrivacyProtectionAct,theCaliforniaConsumerPrivacyActof2018,theColoradoPrivacyAct,andsimilarcomprehensiveconsumerprivacyLaws.2.     Amendments.2.1.Fromtimetotime,MaxBountymayamend,replaceorsupplementthereement,includingbutnotlimitedtochangingAdvertiserpayouts,bypostinganupdatedreementorCampaignTermsontheMaxBountywebsite,anditshallbedeemedeffectiveimmediatelyunlessotherwisenoted,andAffiliatewillbedeemedtoheconsentedto,andreedtobeboundby,theupdatedreementorCampaignTerms.ItistheresponsibilityoftheAffiliatetoreadandkeepuptodatewiththereementandCampaignTermswithorwithoutnoticeofchangefromMaxBounty.3.     AffiliateRequirements.3.1.Affiliateissubjecttoreviewandmayberejectedforanyreason,andatanytime,byMaxBounty.3.2.Affiliatemustsubmitvalidandcorrectcontactinformation,includingbutnotlimitedtoname,e-mailaddress,streetaddress,andtelephonenumber.Affiliatemustensurethisinformationremainsup-to-dateatalltimeswithintheMaxBountyNetwork.Affiliatemustaccurately,clearlyandcompletelydescribeallpromotionalmethodsintheirdescriptionsandprovideadditionalinformationwhennecessary.3.3.Affiliatewebsitesmustnotbeassociatedwithorcontainanyillegalactivity,orpornographic,obscene,racist,orhatefulcontent,ordeceptiveadvertising,piracy,libelousordefamatorystatements.3.4.AffiliatewebsitesmustnotcontainanymechanismsthatcouldbedownloadedontoaUser'scomputerwithouttheUser'sexplicitknowledgeandconsent.3.5.Initssolediscretion,ifatanytimeMaxBountydeemstheAffiliate'swebsiteoradvertisingactivitiesarecontrarytothetermssetoutinthereement,theAffiliateshallbeterminatedfromtheNetworkandshallforfeitanyandallcommissionsandearnings.4.     AffiliateRules.4.1.FailuretoadheretothefollowingrulesisaviolationofthereementandwillresultinimmediateterminationoftheAffiliatefromtheMaxBountyNetworkwithforfeitureofallmoniesduetoAffiliate.4.2.AffiliatemustnotloadAdvertiser'swebsitewithinaframesetoriframeunlesspriorwrittenapprovalisobtainedfromMaxBounty.4.3.AffiliatemustnotmodifytheAdssuppliedbyMaxBountyinanywayunlesspriorwrittenapprovalisobtainedfromMaxBounty.4.4.Affiliatemustindicatewhetherheusesincentivetraffic,andonlyofferincentivestoUserstorespondtoAdswithpermissionfromMaxBountyandtheAdvertiserasindicatedontheNetworkandCampaignTerms,orinwriting.MaxBountyreservestherighttodefinethetermincentive.4.5.Affiliatemustnotmakemisleadingordisparingstatements,oralorwritten,aboutanyAd,AdvertiserorMaxBounty.4.6.AffiliatemustreetoreceiveperiodiccommunicationsfromMaxBounty.Thiscommunicationcouldbeintheformofe-mail,instantmesse,postalmail,telephoneorfax.4.7.AffiliatemustnotdisplayanyAdinthirdPartynewsgroups,socialNetworks,messeboards,blogs,linkfarms,MaxBounty... ngành.counters,chatroomsorguestbookswithouttheconsentofsuchthird-Partyentity.4.8.AffiliatemustcomplywithallCampaignTermsasoutlinedinAds.4.9.AffiliatesmustnotuseSMS/textmessestodeliverAdstoUsers.4.10.AffiliatemustnotgenerateanyActionsinbadfaithorthroughfraudulentmechanisms.Thisincludes,butisnotlimitedto,generatingownActionsusingmanualorautomatedprocesses,misrepresentingproductorserviceofferedbyAdvertisers,deceivingUsersintoobtainingproductorserviceofferedbyAdvertisers,andencouringoreducatingSurferstocancelanyproductpurchaseorserviceprovidedbyAdvertisers.4.11.Affiliatemustnotshare,lend,lease,sellortransfertheiraccounttoanythirdPartyunlesspriorwrittenapprovalisobtainedfromMaxBounty.4.12.AnyAffiliateengedinthedistributionofAdsviaemailmustcomplywithallofthefollowingrules:4.12.1.AffiliatemustdistributeAdsonlytothoserecipientswhoheOpted-intoreceivesuchemailfromtheAffiliate.MaxBountyprohibitstheuseofSpam.AnyuseofSpamwhatsoeverbyAffiliatewillresultintheforfeitureofAffiliate'sentirecommissionforallcampaigns,andtheterminationoftheAffiliate'saccount.Affiliatewillalsobeheldliableforanyandalldamesresultingfromaviolationofthisprovisionincludingreasonablecourtcosts.4.12.2.IfrequestedbyMaxBounty,Affiliatemustbeablewithin24hoursofsuchrequest,tosupplythename,date,time,IPaddressandURLwheretheUsergepermissiontotheAffiliatetoreceivesuchAdsthroughe-mail.4.12.3.Affiliatemustensureeachemailrecipientisprovidedwithavalidopt-outmechanismwithineachemaildeliveredinorderfortherecipientsto"opt-out"offuturemailingsfromAffiliate.4.12.4.AffiliatemustnotusetheAdvertiserorMaxBountyname(includinganyabbreviationthereof)intheoriginatingemailaddressline("From"line)orsubjectlineofanyemailtransmission,unlessspecificpermissionisgivenotherwise.4.12.5.AffiliatemustnotusefalsifiedsenderinformationorfalsifiedIPAddresses.4.12.6.Affiliatemustuseonlypre-approvedAdvertisersubjectlinesandfromlinesassetoutinCampaignTerms.4.12.7.Affiliatemustuseonlylegitimateroutinginformation.4.12.8.AffiliatemustusetheirowntrackinglinksthatredirecttothetrackinglinkssuppliedbyMaxBounty.4.12.9.AffiliatemustheaproperprivacypolicyontheirwebsitethatincludesalinktoMaxBounty’sprivacypolicytotheextentAffiliatecommunicatesanypersonalinformationwithMaxBounty.Affiliates’privacypolicymustbeincompliancewithallApplicablePrivacyLaws,guidelines,rulesandregulationsandshallwarrantthatemailcampaignsareconductedinaccordancewiththatprivacypolicy,andinaccordancewithanyApplicablePrivacyLaws.4.12.10.AffiliatemustensureeachemailcontainsAdvertiser'sunsubscribemechanismassetoutinCampaignTerms.4.12.11.AffiliatemustnotsendemailtoanyemailaddressordomaincontainedinanAdvertiser'ssuppressionlistassetoutinCampaignTerms.4.12.12.AffiliatemustensureeachemailclearlycontainstheAffiliate'sphysicaladdress,whichcannotbeaPOBOX.4.12.13.AffiliatemustcomplywithallcampaigninstructionsfromMaxBountyandAdvertiserassetoutinCampaignTerms.4.12.14.Affiliatemustbecompliantwithallrelevantlaws,includingbutnotlimitedtotheControllingtheAssaultofNon-SolicitedPornographyAndMarketing(CAN-SPAM)Actof200315U.S.C.ch.103andanActtopromotetheefficiencyandadaptabilityoftheCanadianeconomybyregulatingcertainactivitiesthatdiscourerelianceonelectronicmeansofcarryingoutcommercialactivities,andtoamendtheCanadianRadio-televisionandTelecommunicationsCommissionAct,theCompetitionAct,thePersonalInformationProtectionandElectronicDocumentsActandtheTelecommunicationsActS.C.2010,c.23(CASL).4.13.IfAffiliatehasnotloggedintotheiraccountforsix(6)consecutivemonths,itwillbemovedtoaninactivestatus.Ifthisinactivitycontinuesfornine(9)months,MaxBountyreservestherighttoterminatetheaccountforinactivityanddebitanyremainingbalancethatisheldintheAffiliateaccount.4.14.IfAffiliate(i)operatesfromajurisdictionsubjecttoApplicablePrivacyLaws;(ii)marketstoortargetsindividualsinajurisdictionsubjecttoApplicablePrivacyLaws;or(iii)collectsorotherwiseprocessesanypersonalinformationfromusersinajurisdictionsubjecttoApplicablePrivacyLaws,thenAffiliateherebyrepresents,warrants,covenantsandreesthatAffiliatewill(a)complywithApplicablePrivacyLaws;(b)informendusersinaprominentmanneroftheirrightsunderApplicablePrivacyLawsandthatAffiliateusestrackingdevicesandcookiesforadvertisingpurposes,includingInterest-BasedAdvertising;and(c)obtainallrequiredenduserconsentstoplacetrackingdevices,suchascookies(includingthoseenabledbyMaxBountyatAffiliate’srequestonAffiliate’sbehalf)onsuchendusers'computersandinternetenableddevicesandprovideinformationregardingtheremovalofsuchtrackingdevices.5.     IfAffiliatedeterminesthatApplicablePrivacyLawsdonotapplytothem,thenAffiliateshallprovideMaxBountywithitsanalysisconcludingthesameor,providedetailedinformationregardingthespecificstepsAffiliatetakestoensurethatindividualslocatedinjurisdictionssubjecttoApplicablePrivacyLawsdonotvisitAffiliates’Siteviaourservicesandtechnology.6.     AdvertisingServicesandWarranties.6.1.ProvidedthatAffiliatecomplieswithallprovisionsofthisreementandCampaignTerms,MaxBountyherebygrantstoAffiliateanon-exclusive,limited,revocablelicensetomarket,display,perform,copy,transmit,andpromotetheAdinconnectionwithitsobligationshereunder;andmarketdisplay,perform,copy,transmit,andpromotetheAdtothirdPartiesinconnectionwithitsobligationshereunder.Affiliate'suseofAdsoredmaterialsinviolationofthisreementisstrictlyforbiddenandwillresultinthislimitedlicensebeingimmediatelywithdrawnandmayfurtherresultintheterminationoftheAffiliate'saccountandbeingheldliableunderapplicablelaw.6.2.MaxBounty'ssoleobligationtotheAffiliateunderthisreementwithrespecttoAdsshallbetoprovidesuchAdsforuseintheiradvertisingefforts.TheadvertisingservicesprovidedbyMaxBountyareprovided"asis".MaxBountymakesnowarranties,guaranties,promises,orestimates,expressedorimplied,oral,writtenorotherwiseexceptasspecificallysetforthherein,ANDdoesnotguarantee,includingbutnotlimitedto,demographicprofilingofUsers,clicktoActionconversionrates,responseratesorconversionratesfromActiontosale.6.3.Noadditionalwarrantiesareprovided.7.     CommissionEarningsandPayments.7.1.MaxBountyshallsendAffiliate'scommissionpaymentapproximatelyfifteen(15)daysfromthelastbusinessdayofeachmonthinwhichearningsareaccruediftheamountduetoAffiliateexceedseitheronehundred(100)dollarsUSDortheminimumpaymentamountrequestedbytheAffiliate,whicheverishigher.PaymentthresholdsmayvarybasedpaymenttypechosenbyAffiliate.PoliciesregardingpaymenttypethresholdscanchangewithoutnoticetoAffiliate.CommissionswillonlybeearnedonActionsreportedbytheAdvertiser,andonlyafterMaxBountyreceivesfullpaymentfromtheAdvertiser.MaxBountyisundernoobligationtopayAffiliatesforActionswhicharenotpaidbytheAdvertiser.7.2.MaxBountyshallincreasethepaymentfrequencyforAffiliatetoweekly,providedAffiliatehasreceivedonepreviouspaymentfromMaxBountyandissetuptoreceivepaymentselectronically.Allotherconditionsandrestrictionsforpaymentasoutlinedinitem6.1remaininforceforweeklypayments.MaxBountyinitssolediscretionmaydisqualifyanyAffiliatefrombeingeligibleforweeklypayments.7.3.Intheeventofnon-paymentbyanAdvertiser,andIfMaxBountyelectsinitsowndiscretionnottomakepaymenttoAffiliate,anAffiliate'srecourseforanyearnedcommissionsnotpaidshallbetomakeaclaimainsttherelevantAdvertiser(s),andMaxBountydisclaimsanyandallliabilityforsuchpayment.7.4.MaxBountyortheAdvertisermayreverseanyActiongeneratedbytheAffiliate.CircumstancesforActionreversalsincludebutarenotlimitedtoduplicateActions,fraudulentlygeneratedActions,non-payment,Affiliate'sfailuretocomplywiththereement,invalidorincompletedata,orproductreturns.Reversalsmaybeappliedatanytime,includingforActionsduringaperiodwherepaymenthasalreadybeenissuedtotheAffiliate.7.5.IntheeventreversalsareappliedtoActionsforwhichanAffiliatehasalreadybeenpaid,AffiliateisrequiredtoreturnpaymentfortheseActionstoMaxBounty.8.     ReferralProgram.8.1.Affiliateshallearna10%referralfeeonthecommissionpaymentsmadetoanyothernewAffiliates(excludingbonuses,rewards,additionalpayouts,AffiliateearningswheretheAffiliateisanadvertisingNetwork,andreferralincome)whohebeenreferredtoMaxBountyusingthespecifiedlinkcode.AffiliateshallearnthisfeeonthecommissionpaymentsofareferredAffiliateforaperiodofsix(6)monthsafterthereferredAffiliatejoinstheMaxBountyNetwork.SecondaryaccountsheldbyAffiliateareexcludedfromthereferralprogram.MaxBountyreservestherighttoterminateanAffiliatereferralprogram,inwholeorinpart,atanytimeforanyreason,includingbutnotlimitedto,fraud,questionableactivityorbreachofthetermssetoutinthereementorCampaignTerms.9.     RepresentationsandWarranties.9.1.EachPartyrepresentsandwarrantstheyhefullcorporateright,power,andauthoritytoenterintothisreement,togranttherightsandlicensesgrantedandtoperformtheactsrequiredofit.9.2.EachPartyacknowledgesthattheotherPartymakesnorepresentations,warranties,orreementsrelatedtothesubjectmatterhereofthatarenotexpresslyprovidedforinthisreement.10.MaxBounty... ngành.     Non-Circumvention.10.1.Affiliateshallnotsolicitorrecruit,directlyorindirectly,anyAdvertiserthatisknowntoAffiliatetobeanAdvertiserofMaxBounty,forpurposesofofferingproductsorservicesthatarecompetitivewithMaxBounty,norcontactsuchAdvertisersforanypurpose,duringthetermofAffiliate'smembershipintheMaxBountyNetworkandforthetwelve(12)monthperiodfollowingterminationofAffiliate'smembershipintheMaxBountyNetwork.11.     LimitationofLiability.11.1.EXCEPTFORTHEINDEMNIFICATIONPROVISIONSATCLAUSE12,UNDERNOCIRCUMSTANCESSHALLEITHERPARTYBELIABLETOTHEOTHERFORINDIRECT,INCIDENTAL,PUNITIVE,CONSEQUENTIAL,SPECIALOREXEMPLARYDAMESORCOSTS,DIRECTORINDIRECT,(EVENIFSUCHPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMES),ARISINGFROMAFFILIATEPARTICIPATIONINMAXBOUNTY'SNETWORK.MAXBOUNTYSHALLNOTINANYEVENTBELIABLETOAFFILIATEFORMORETHANTHEAMOUNTPAIDTOAFFILIATEHEREUNDER.NOACTION,SUITORPROCEEDINGSHALLBEBROUGHTAINSTMAXBOUNTYMORETHANONEYEARAFTERTHEDATEOFSERVICE.11.2.AffiliatereesnottoholdMaxBountyorAdvertisersliableforanyoftheconsequencesofinterruptionorservice.12.     Indemnification.12.1.AffiliateheretoreestoindemnifyandholdharmlessMaxBounty,Advertiser,andeachifitsents,officers,directorsandemployeesainstallliabilitytothirdPartiesresultingfromtheactsorfailuretoactofsuchindemnifyingParty,oranyactofitscustomersorusers.AffiliateissolelyresponsibleforanylegalliabilityarisingoutoforrelatingtotheAffiliate'swebsite(s),anymaterialtowhichUserscanlinkthroughtheAffiliate'swebsite(s)and/oranyconsumerand/orgovernmental/regulatorycomplaintarisingoutofanyprivacybreach,regulatorycomplianceissue,e-mailcampaignorotheradvertisingcampaignconductedbyAffiliate,includingbutnotlimitedtoanySpamorfraudcomplaintand/oranycomplaintrelatingtofailuretoheproperpermissiontoconductsuchcampaigntotheconsumer.13.     Confidentiality.13.1.AffiliatereestorefrainfromdisclosingMaxBounty'sconfidentialinformationortheAdvertiser'sconfidentialinformation(includingbutnotlimitedtocommissionrates,conversionrates,emailaddresses,fees,identitiesofAdvertisers)toanythird-PartywithoutpriorwrittenpermissionfromMaxBounty.14.     ForceMajeure.14.1.NeitherPartyshallbedeemedindefaultofthisreementtotheextentthatperformanceofitsobligationsorattemptstocureanybreacharedelayedorpreventedbyreasonofanyactofGod,fire,naturaldisaster,accident,terrorism,riots,actsofgovernment,shorteofmaterialsorsupplies,oranyothercausebeyondthereasonablecontrolofsuchParty;provided,thatthePartywhoseperformanceisaffectedbyanysucheventgivestheotherPartywrittennoticethereofwithinthree(3)businessdaysofsucheventoroccurrence.15.     Relationship.15.1.ThePartiestothereementareindependentnon-exclusivecontractors.NeitherPartywillheanyright,orauthoritytoenterintoanyreementonbehalfof,orincuranyobligationorliabilityof,ortootherwisebindtheotherParty,noriseitherPartyanent,representative,partner,employee,orjointventureoftheotherParty.16.     Remedies.16.1.MaxBountyreservestherighttowithholdpaymentandtakeappropriatelegalactiontocoveritsdamesainstanyAffiliatethatviolatesthetermsofthisreementorbreachestherepresentationsandwarrantiessetforthinthisreement,orcommitsfraudulentactivityainstMaxBounty.Exceptasotherwisespecified,therightsandremediesgrantedtoaPartyunderthereementarecumulativeandinadditionto,notinlieuof,anyotherrightsandremedieswhichthePartymaypossessatlaworinequity.17.     Entirereement.17.1.Thisreementconstitutestheentireandonlyreementandsupersedesanyandallpriorreements,whetherwritten,oral,express,orimplied,ofthePartieswithrespecttothetransactionssetforthherein.18.     GoverningLaw.18.1.TherightsandobligationsofthePartiesunderthisreementshallbegovernedbyandconstruedunderthelawsoftheProvinceofOntario,Canada.18.2.ThePartiesirrevocablysubmitandattorntotheexclusivejurisdictionofthecourtsoftheProvinceofOntario.19.     Termination.19.1.ThisreementmaybeterminatedbyeitherParty.ThisreementmaybeterminatedimmediatelyuponnoticeforyourbrMaxBounty...
